This Privacy Policy ("Policy") describes how KatronAI, Inc., doing business as Katron AI ("Katron AI," "we," "us," or "our"), collects, uses, discloses, and safeguards information when you access or use:

• Our websites, including www.katronai.com (collectively, the "Website");
• The Katron AI User App (the "User App");
• The Katron AI Merchant App (the "Merchant App"); and
• Any related online or offline services, features, or communications that reference this Policy (collectively, the "Services").

This Policy applies to:

• Individual consumers ("Users");
• Business customers ("Merchants"); and
• Merchant employees or contractors authorized to access the Merchant App ("Authorized Users").

BY ACCESSING OR USING THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO THIS POLICY. IF YOU DO NOT AGREE, DO NOT USE THE SERVICES.

1. Operational Summary

Payments.

Katron AI does not process payment card transactions for point-of-sale purchases. Payment processing is performed by independent third-party providers.

Funds.

Katron AI does not hold, store, or custody customer funds for point-of-sale purchases.

Rewards Verification.

To verify eligibility and issue rewards, Katron AI may collect limited transaction metadata, such as an authorization code, transaction amount, and the first six and last four digits of a payment card. Full card numbers are never collected.

KTN-R Tokens.

Rewards may be issued as KTN-R, a utility token recorded on a private, permissioned blockchain. KTN-R is a utility token with no cash or monetary value, is not redeemable for fiat currency, and does not constitute a security, stored value, investment product, or property right.

Non-Custodial Wallets.

Where wallet functionality is enabled, private keys are generated and controlled solely by you. Katron AI cannot access or recover lost private keys.

Location Data.

Precise geolocation data is collected only if you grant permission through your device settings.

Advertising.

As of the Effective Date, Katron AI does not engage in targeted advertising, retargeting, or cross-device tracking.

Gift Cards.

Gift card purchases made through the Website do not earn KTN-R rewards.

2. Eligibility and Children's Privacy

The Services are intended solely for individuals 18 years of age or older. Katron AI does not knowingly collect Personal Information from individuals under 18. If you believe a minor has provided Personal Information, contact contact@katronai.com, and we will take appropriate steps to delete such information.

3. Definitions

• "Personal Information" means information that identifies, relates to, describes, or could reasonably be linked to an individual.
• "Non-Personal Information" means aggregated or de-identified information that cannot reasonably identify an individual.
• "Precise Geolocation" means location data derived from GPS or similar technologies capable of identifying a person's precise location.
• "Merchant Content" means content or materials submitted by Merchants through the Merchant App, including logos, menus, promotions, or product information.

4. Information We Collect

4.1 Information You Provide

• Users: Account information (e.g., name, email, phone number), Rewards claims and receipt data, Communications and support inquiries, User-generated content.
• Merchants and Authorized Users: Business and contact information, Merchant Content, Operational and support communications.

4.2 Information Collected Automatically

• Device & Usage Data: device type, operating system, IP address, app version, language settings, usage activity, diagnostic logs, and unique device identifiers (by way of example: IDFA, AAID) necessary for core app functionality and security.
• Location Data: Precise Geolocation, only with your permission.
• Cookies & Similar Technologies: cookies, pixels, and tags used for functionality, security, analytics, and performance.
• Analytics: Google Analytics or similar tools used on the Website.

4.3 Information from Third Parties

Katron AI may receive information from service providers, payment processors, fraud-prevention vendors, and partners, including transaction status and verification signals.

5. How We Use Information

Katron AI uses information to:

• Operate, maintain, and secure the Services;
• Verify transactions and administer rewards;
• Display Merchant Content and offers;
• Facilitate gift card and promotional functionality;
• Enable location-based features (where permitted);
• Communicate with users;
• Improve Services and user experience;
• Prevent fraud and enforce policies; and
• Comply with legal obligations.

6. How We Disclose Information

Katron AI may disclose information:

• To service providers acting on our behalf;
• To Merchants to support reward redemption and customer service;
• To payment and gift card processors;
• To comply with legal or regulatory obligations;
• In connection with a corporate transaction;
• As aggregated or de-identified data;
• With your consent or at your direction.

Katron AI does not sell Personal Information.

7. Advertising and Marketing

7.1 Current Practices

Katron AI does not use Personal Information for targeted advertising, retargeting, or cross-context behavioral advertising.

7.2 Future Practices

If such practices are introduced, this Policy will be updated and legally required opt-out mechanisms will be provided.

8. Rewards Program

Gift Cards.

Purchases made through the Website do not earn KTN-R.

In-App Rewards.

Rewards are available only for eligible in-app purchases, subject to applicable program terms.

9. Blockchain and Wallet Disclosures

Private Blockchain.

Certain reward transactions may be recorded on a private, permissioned blockchain. Records may be immutable.

Utility Nature.

KTN-R is a utility token used solely within the Services.

Non-Custodial Wallets.

Users are solely responsible for safeguarding private keys.

10. Your Choices and Controls

• Location Permissions: Managed through device settings.
• Cookies: Managed through browser controls or our Cookie Notice.
• Marketing Emails: Opt-out via unsubscribe links.
• Account Deletion: Email contact@katronai.com. Certain data may be retained as permitted by law.

11. Data Retention

Katron AI retains Personal Information only as long as reasonably necessary to fulfill the purposes described in this Policy or as required by law.

12. Security

Katron AI employs reasonable administrative, technical, and physical safeguards. No system can guarantee absolute security.

13. International Data Transfers

The Services are operated in the United States. Information may be transferred to and processed in the U.S. if accessed from outside the country.

14. Third-Party Services

This Policy does not apply to third-party websites or services linked through the Services.

15. U.S. State Privacy Rights

This Section applies to residents of California, Virginia, Colorado, Connecticut, and Utah.

15.1 Rights

Subject to applicable law, residents may have the right to:

• Access Personal Information;
• Delete Personal Information;
• Correct inaccuracies;
• Obtain a portable copy;
• Opt out of certain processing activities, including targeted advertising (as defined under applicable state law); and
• Appeal denied requests (where applicable).

15.2 Sale and Sharing

Katron AI does not sell Personal Information, as defined under applicable state law, or share it for cross-context behavioral advertising (also known as targeted advertising).

15.3 Exercising Rights

Requests may be submitted to contact@katronai.com. Identity verification may be required. For the purposes of privacy-related requests under U.S. state laws, you may also designate an authorized agent to act on your behalf.

15.4 Appeals

Where required, appeals may be submitted by replying to a denial notice or emailing contact@katronai.com with the subject line "Privacy Appeal."

16. Changes to This Policy

Katron AI may update this Policy periodically. Material changes will be communicated through the Services or other reasonable means.

17. Miscellaneous

17.1 Governing Law; Venue

This Policy shall be governed by the laws of the State of Texas, without regard to conflict-of-laws principles. The state and federal courts located in Fort Bend County, Texas, shall have exclusive jurisdiction for any dispute arising under this Policy.

17.2 Severability

Invalid provisions shall be enforced to the maximum extent permissible, with remaining provisions remaining in effect.

17.3 No Waiver

Failure to enforce any provision shall not constitute a waiver.

17.4 Assignment

Katron AI may assign this Policy without restriction. Users may not assign without prior written consent.

17.5 No Third-Party Beneficiaries

This Policy creates no rights enforceable by third parties.

17.6 Entire Agreement

This Policy, together with the Terms of Use and related notices, constitutes the entire agreement regarding privacy.

17.7 Survival

Provisions which by their nature should survive shall survive termination.
